Terms of Service

These Terms of Service (“Terms”) govern your use of CoachSMS (“CoachSMS,” “we,” “us”). CoachSMS is owned and operated by VAST BRANDS LLC. The coachsms.com domain and website are owned by Centrex Ventures (centrexventures.com). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

CoachSMS is an AI-powered fitness-and-lifestyle coaching service delivered by text message, with a companion website for account settings. Depending on your plan and settings, the Service may also include: AI voice phone calls (including on-demand calls, scheduled wake-up calls, and reminder calls); custom reminders, meal plans, and coaching for sports and classes; a community video feed; creator-built coaches; and referral features. The coach is software, not a human, and provides general fitness, nutrition, and lifestyle motivation and guidance.

1a. AI voice calls & recordings

With voice calling enabled, the AI coach may place calls to you (for example, a call you request, a scheduled wake-up call, or a check-in when you miss a reminder), and you may call the coach. Standard carrier voice and data rates may apply. Calls may be recorded so you can replay or share them; you consent to this recording by using the calling feature, and you can turn recording off (reply STOP RECORD) or turn calls off entirely (reply NO CALLS) at any time. Do not use voice calls for emergencies. By enabling calls you confirm you are the account holder and consent to being contacted at your number by an automated system.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using it, you represent that you meet these requirements.

3. Your account

Your account is tied to your mobile phone number, verified by a one-time code. You are responsible for activity on your account and for keeping access to your phone secure. Provide accurate information and keep it up to date.

4. Plans & billing

• Subscriptions. Paid plans are billed in advance through Stripe (monthly or yearly, per your selection) and renew automatically until cancelled.
• Included usage. Plans include unlimited coach texting and unlimited live AI phone calls for your own personal, non-commercial use. We may throttle, limit, or review accounts showing automated, abusive, or clearly non-personal usage to keep the Service working for everyone.
• Free trial. New subscriptions may start with a 7-day free trial with a card on file: you pay $0 at signup, and the plan price is charged when the trial ends unless you cancel before then. Trials are for evaluation and may be changed or ended at our discretion.
• Cancellation. Cancel any time by texting CANCEL to your coach or from your dashboard. Cancellation stops future renewals; it does not refund the current period.
• Refunds. Except where required by law, payments are non-refundable.
• Price changes. We may change prices with notice; changes apply to the next billing cycle.

4a. Community feed & user content

The Service includes a community feed where members can share links to third-party videos (e.g. YouTube). You are responsible for content you post and must have the right to share it; do not post anything unlawful, infringing, hateful, sexual, or misleading. We may remove content or restrict posting at our discretion, and third-party videos are governed by the third party's own terms. You grant us a license to display content you post within the Service.

4b. Creator program & referrals

Approved creators may publish tutorial and motivation videos and build a custom AI coach that members can adopt. Creators may earn referral commissions on paying members they refer (for example, by sharing their code or link), paid out subject to a minimum balance and verification; we may adjust, withhold, or reverse amounts for fraud, chargebacks, or violations. Members may also refer friends for features such as streak protection. Referral and creator terms may change, and abuse (including self-referral or fake accounts) may result in forfeiture and account action.

5. Acceptable use

You agree not to:

• Use the Service for anything unlawful, harmful, or abusive.
• Harass, threaten, or send prohibited content to the Service.
• Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service.
• Resell or share access without our permission.

We may suspend or terminate accounts that violate these Terms.

6. Health & safety disclaimer

CoachSMS is not a medical provider and does not give medical advice. The Service provides general fitness information and motivation only. Always consult a qualified healthcare professional before starting any exercise program, especially if you have a medical condition, are injured, are pregnant, or have any concerns. You participate in physical activity at your own risk and assume responsibility for exercising safely. If you experience pain, dizziness, chest symptoms, or any emergency, stop and seek medical help.

7. AI disclaimer

The coach is generated by artificial intelligence and may occasionally be inaccurate, incomplete, or inappropriate. Use judgment, and do not rely on it as professional medical, legal, or financial advice.

8. Intellectual property

The Service, including its software, branding, and content, is owned by VastBrands LLC and protected by law. We grant you a limited, non-transferable license to use the Service for your personal use. Your message content remains yours; you grant us a license to process it to provide the Service.

9. Termination

You may stop using the Service at any time. We may suspend or terminate the Service or your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination will survive.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, and message delivery depends on carriers we do not control.

11. Limitation of liability

To the maximum extent permitted by law, VastBrands LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising from your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the three months before the claim.

12. Indemnification

You agree to indemnify and hold harmless VastBrands LLC from claims arising out of your misuse of the Service or violation of these Terms.

13. Governing law

These Terms are governed by the laws of the United States and the state in which VastBrands LLC is organized, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located there for any dispute, except where prohibited by law.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and update the date. Continued use of the Service after changes means you accept the updated Terms.
